Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Sygn Labs ("Sygn," "we," "us") and govern your access to and use of the Sygn website, application, and any related services (collectively, the "Service"). By accessing the Service, creating an account, connecting a wallet, or clicking any button labeled to indicate agreement (including login or "Launch app"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and have the legal capacity to enter into this agreement.

Sygn is a software interface that lets you interact with the Polymarket prediction-market protocol and related on-chain infrastructure. The Service helps you discover markets, view information, and submit orders to Polymarket's order books from your own wallet.

Sygn is not:

• A broker, dealer, exchange, or trading venue.
• A custodian of your funds, private keys, or positions.
• An issuer or counterparty to any market, contract, or token displayed on the Service.
• A provider of investment, legal, tax, accounting, or other professional advice.

Markets, prices, and outcomes shown on Sygn originate from Polymarket and other third-party data sources. We do not control them, do not guarantee their accuracy, and are not responsible for their resolution.

Sygn is not registered with, licensed by, or supervised by any securities, commodities, financial-services, or gambling regulator in any jurisdiction, including the U.S. Securities and Exchange Commission and the U.S. Commodity Futures Trading Commission. The markets accessible through the Service are created, operated, and resolved by Polymarket, not by Sygn.

Access to prediction markets is regulated differently across jurisdictions. You are solely responsible for determining whether your use of the Service is lawful in your location and for complying with all applicable laws, including securities, commodities, derivatives, gambling, tax, and sanctions laws.

You represent and warrant that you are not located in, ordinarily resident in, or accessing the Service from any jurisdiction where such access is prohibited; that you are not subject to sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the U.N. Security Council, the European Union, the United Kingdom, or any other applicable authority; and that you are not on any government list of prohibited or restricted persons.

The underlying Polymarket protocol applies its own access restrictions and prohibits use from certain jurisdictions under its terms of service. You are solely responsible for ensuring that your access to and use of Polymarket through the Service complies with Polymarket's Terms of Use and any restrictions they impose, in addition to the laws applicable to you.

We may, in our sole discretion, restrict or block access from any jurisdiction or to any user, with or without notice.

Authentication is provided by Privy. When you log in, an embedded wallet may be created and assigned to you. You are solely responsible for safeguarding your authentication credentials, recovery methods, and any private keys or wallets associated with your account. Sygn does not have access to your private keys and cannot recover lost wallets, lost credentials, or funds sent to incorrect addresses.

Any transaction broadcast from your wallet — whether initiated by you, by an application you have authorized, or as a result of a compromise of your device or credentials — is your responsibility. Blockchain transactions are generally irreversible.

By using the Service, you acknowledge and accept the following risks:

• Total loss of funds. Prediction-market positions may resolve worthless. You can lose all amounts you commit.
• Market and resolution risk. Markets may be illiquid, mispriced, suspended, delisted, or resolved in ways you disagree with. Resolution is determined by the underlying protocol, not by Sygn.
• Smart-contract and protocol risk. Polymarket and underlying blockchains are experimental software. Bugs, exploits, oracle failures, or governance actions can result in loss.
• Network risk. Blockchain congestion, RPC outages, gas price volatility, and reorganizations may delay, fail, or alter your transactions.
• Counterparty and infrastructure risk. Third-party services (Privy, Polymarket, Cloudflare, Anthropic, RPC providers, bridges) may experience downtime, errors, or compromise.
• Regulatory risk. Laws affecting prediction markets, digital assets, and the Service may change abruptly. Markets you hold may become inaccessible.
• Tax risk. You are responsible for determining and paying any taxes resulting from your activity on the Service.

You should not use the Service with funds you cannot afford to lose.

Sygn may charge a platform fee on certain trades or transactions. Where charged, the fee is disclosed in-app at or before the time of order placement. Fees are denominated in the relevant token (typically USDC) and may be deducted on-chain or invoiced as a separate obligation. Network gas fees, bridging fees, and third-party service fees are not set by Sygn.

We may change our fees at any time. Continued use of the Service after a change constitutes acceptance of the new fees.

You agree not to:

• Use the Service in violation of any law, regulation, or third-party right.
• Engage in market manipulation, wash trading, spoofing, front-running, or any other deceptive trading practice.
• Use the Service to launder money, finance terrorism, evade sanctions, or commit fraud.
• Reverse engineer, decompile, scrape (beyond our public rate limits), or attempt to extract source code or model weights from the Service.
• Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure.
• Use bots, scripts, or automated tooling that materially degrade the Service for other users, except via interfaces we expressly authorize.
• Misrepresent your identity, jurisdiction, or eligibility, or use the Service on behalf of a sanctioned person.
• Upload content that is unlawful, infringing, defamatory, harassing, or that contains malware.

The Service integrates with third-party providers, including Polymarket (markets, order books, and deposit bridging), Privy (authentication and embedded wallets), Funkit and Swapped (card and crypto on-ramps), Cloudflare (edge networking), Anthropic (AI features), and various data and RPC providers. Your use of these providers is governed by their own terms and privacy policies. Sygn is not responsible for the availability, accuracy, content, or actions of any third party.

In particular, your use of the Polymarket protocol, order books, and related services through the Service is additionally governed by Polymarket's own Terms of Use and related policies, which you are responsible for reviewing and complying with.

Sygn is an independent software interface. Sygn is not affiliated with, operated by, sponsored by, or endorsed by Polymarket or any other third-party provider named above. "Polymarket" and all related names, logos, and marks are the property of their respective owners and are used solely to identify the underlying protocol and data sources.

The Service may surface AI-generated summaries, classifications, signal scores, and market matches. AI output can be incorrect, incomplete, biased, or outdated. AI output is provided for informational purposes only, is not investment advice, and must not be relied on as the sole basis for any trading decision. You are solely responsible for verifying any information before acting on it.

Nothing on the Service — including market data, AI summaries, signals, leaderboards, social posts, news, charts, recommendations, or any communication from us — is investment, legal, tax, accounting, or any other professional advice, or a solicitation, offer, or recommendation to buy, sell, or hold any market, contract, token, or asset. We do not owe you any fiduciary duty.

The Service, including its software, design, branding, logos, and original content, is owned by Sygn Labs or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. All other rights are reserved.

You retain ownership of content you submit to the Service, but you grant Sygn a worldwide, royalty-free, non-exclusive license to host, store, process, display, and use that content as needed to operate and improve the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYGN DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF MALICIOUS COMPONENTS, OR THAT ANY DATA, MARKET PRICE, AI OUTPUT, OR SIGNAL DISPLAYED IS ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SYGN, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID DIRECTLY TO SYGN IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or limitations of certain damages; in those jurisdictions, our liability is limited to the smallest extent permitted by law.

You will defend, indemnify, and hold harmless Sygn and its affiliates, and their respective officers, directors, employees, and agents, from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) your trading activity, positions, or transactions.

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms, created risk to us or other users, or if required by law. You may stop using the Service at any time. Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and dispute-resolution terms — will survive.

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice in-app. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Sygn Labs is organized, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. To the maximum extent permitted by law, you waive any right to participate in a class action or class-wide arbitration.

These Terms, together with the Privacy Policy and any in-app disclosures, constitute the entire agreement between you and Sygn regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them freely.
